Terms of Service

These Terms of Service (“Terms”) govern your use of the MyRoute Manager platform (“the Service”), operated by WorldPort Holdings, Inc. (“we,” “us,” “our”). By creating an account, you agree to these Terms.
1. The Service
MyRoute Manager provides route management tools for distribution and service businesses, including route, warehouse, settlement, expense, and invoice management features.
2. Accounts & Eligibility
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your registration information, for maintaining the confidentiality of your credentials, and for all activity under your account. You may invite users to your business workspace; you are responsible for their use of the Service.
3. Subscriptions, Trials & Billing
The Service is offered by subscription with a free trial period. If a trial converts to a paid subscription, fees are billed on the schedule shown at signup. Subscriptions renew automatically until cancelled. You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period. We may change pricing with reasonable advance notice.
4. Acceptable Use
You agree not to: misuse the Service or its infrastructure; upload content you do not have rights to; attempt to access other customers’ data; probe or disrupt the Service’s security; or use the Service for any unlawful purpose.
5. Customer Data
You retain ownership of the business data you submit to the Service. You grant us a limited license to host, process, and display that data solely to operate the Service for you. We do not sell your data.
6. SMS Communications
By providing a phone number, you consent to receive operational SMS messages (such as expense and onboarding alerts) related to your account. Reply STOP to any message to opt out. Message and data rates may apply from your carrier.
7. Intellectual Property
The Service, including its software, design, and content (excluding your data), is owned by WorldPort Holdings, Inc. and protected by intellectual property laws.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant the Service will be uninterrupted or error-free.
9. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from your use of the Service. Our total aggregate liability for claims related to the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Termination
You may terminate at any time by cancelling your account. We may suspend or terminate accounts that violate these Terms or applicable law, or for nonpayment.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated in advance through the Service or by email. Continued use after changes take effect constitutes acceptance.
12. Governing Law & Contact
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.
